o Baltimore-Based Legg Mason Supports Yahoo Directors; Won’t Back Icahn

Baltimore -- In a major blow to dissent shareholder Carl Icahn, Legg Mason -- the Baltimore-based asset management firm that owns 4.4% of Yahoo’s shares -- announced on Friday that it will be supporting the existing Yahoo board, and not the dissident slate nominated by Icahn. On Aug. 1, Yahoo shareholders will vote to elect the entire board of the company. Icahn, angered by Yahoo’s rejection of Microsoft’s takeover offer, has nominated his own board candidates, who would welcome the overtures by Microsoft. “We have met with representatives of the current board and management, including founder Jerry Yang, several times,” said Bill Miller, chairman and Chief Investment Officer of Legg Mason Capital Management. “We believe the current Board acted with care and diligence when evaluating Microsoft's offers.” Icahn has said that Microsoft indicated to him that it would bid again for Yahoo if his slate of candidates wins.

o The Washington Post Company Acquires NBC Television Station in Miami

Washington, DC -- The Washington Post Company announced on Friday that it has reached an agreement with NBC Universal to acquire WTVJ, the NBC-owned television station in Miami. The purchase is expected to be completed by the end of 2008. The Post Company also owns and operates the ABC affiliate in Miami. The company said it will continue to operate the newly acquired station as an NBC affiliate. Terms of the agreement, which must be approved by the FCC, were not disclosed.

o Leesburg-Based Space Angels Issues Call for Aerospace Ventures

Leesburg, Va. -- Space Angels Network, a Leesburg-based network of seed- and early-stage investors focused on the aerospace industry, has issued a call for applicants for its first Aerospace Venture Forum, scheduled for Sep. 26 in Los Angeles. The full-day event will showcase entrepreneurs from promising aerospace ventures to present their business plans to an audience of active accredited investors. o Rockville-Based MacroGenics Acquires Raven Biotechnologies

Rockville, Md. -- MacroGenics, a Rockville-based biotechnology firm developing drugs to treat autoimmune disorders, cancer and infectious diseases, said on Thursday that it has acquired San Francisco-based Raven Biotechnologies. Financial terms of the deal were not disclosed. Raven is developing oncology therapies through its cancer stem cell program. "We believe that this acquisition provides MacroGenics with critical mass in oncology discovery, which is one of the most scientifically and commercially promising areas of drug development," said Scott Koenig, the president and CEO of MacroGenics.

o Baltimore-Based Vertis Lands Key Court Approval in Chapter 11 Process

Baltimore -- After filing for Chapter 11 bankruptcy protection earlier this week, Baltimore-based Vertis Communications, a provider of print advertising and direct marketing services, said that it has received court approval to use $380 million in debter-in-possession financing. The facility, from GE Commercial Finance, will allow the company to maintain normal operations and speed the completion of its merger with American Color Graphics. "The approval of our first day motions gives us assurance that we will continue operating smoothly while we complete this expedited `prepackaged' Chapter 11 process," said Mike DuBose, the chairman and CEO of Vertis. "The liquidity resulting from the Court’s approval of our DIP financing is expected to be more than adequate to pay for goods and services going forward."
